CIF Delivery Procedure

Delivery shall be executed under CIF (Cost, Insurance, and Freight) to the Buyer's nominated refinery or destination. The Seller bears responsibility for freight, logistics, insurance coverage, and export clearance and compliance.

8% Initial Payment Requirement

The Buyer shall provide a formal Letter of Intent (LOI) together with company registration documents. The Buyer agrees to clear 8% of the total consignment value as a mandatory transaction requirement. This amount covers all export-related obligations:

Government royalties and statutory charges
Refining and smelting
Export permits and certifications
Secure packaging and insurance
Freight and logistics handling

Final Settlement: Buyer shall remit 100% balance payment after final assay at the Buyer's designated refinery or destination. Assay results from the Buyer's refinery shall be binding for final settlement.

Collateral Security Available: At the Buyer's request, Orange Investments may provide collateral security — including asset-backed or transactional guarantees — to safeguard the Buyer's initial 8% financial input. This is available subject to mutually agreed terms and provides additional protection for the buyer's investment.

Buyer Issues LOI
Buyer issues a formal Letter of Intent (LOI) including refinery details and KYC documentation (company registration, identification).

Seller Issues Agreement
Orange Investments issues the formal Sales Conditions and Draft Agreement for review.

Buyer Signs Agreement
Buyer signs, seals, and returns the agreement as formal acceptance of the terms.

Buyer Remits 8%
Buyer remits 8% of the total consignment value. This covers all export-related obligations.

Export Preparation
Orange Investments secures export permits and approvals, completes bar preparation and refining, and arranges insurance and shipment under CIF.

Shipment Dispatched
Gold is dispatched to the buyer's nominated destination or refinery via CIF freight arrangements.

Final Assay at Buyer's Refinery
Upon arrival, the gold is subjected to independent final assay at the buyer's facility. Assay results are binding.

Full Balance Payment
Buyer effects full balance payment immediately after assay confirms gold specifications and quantity.

Charter Flight Transaction Procedure

For qualifying transactions requiring direct charter delivery, the following procedure governs the charter flight logistics arrangement.

Buyer Identifies Charter Company
The Buyer shall identify and source a private charter company legally operating under the laws and regulations of Uganda.

Buyer Submits Charter Options
The Buyer shall submit the selected charter company options to Orange Investments for review, verification, and due diligence.

Orange Investments Approves
Upon successful due diligence and mutual agreement, Orange Investments shall issue approval for continuation of the transaction process.

Buyer Pays Charter Company
The Buyer shall proceed to make payment directly to the approved charter company for the charter services.

Charter Company Issues Receipt
The charter company shall issue an official payment receipt to the Buyer, which shall be forwarded to Orange Investments as confirmation.

Bond & Clearance Obtained
Following confirmation of the charter payment receipt, Orange Investments shall immediately proceed with obtaining the necessary bond and clearance documentation.

Bond Covers 8% Inclusive Charges
The bond shall cover the 8% inclusive charges related to smelting, insurance, government taxes, government royalties, documentation, and all related export procedures.

Gold Bars Prepared for Shipment
Orange Investments prepares the gold bars with complete documentation, inspection records, and testing certification for shipment.

Gold Loaded onto Charter Aircraft
The gold shall be loaded onto the mutually approved charter aircraft for transportation to the Buyer's designated destination.

Seller Representatives Accompany
Upon arrival, representatives of Orange Investments shall accompany the Buyer to the Buyer's refinery for final assay and verification.

Final Payment After Assay
Final payment shall be made by the Buyer only after completion of the final assay and confirmation of agreed specifications.

Charter Transaction Payment Terms

Payment shall be effected by the Buyer after completion of the final assay at the Buyer's refinery and confirmation of the gold specifications and quantity as agreed between both parties. This structure provides maximum buyer protection — full payment is only due after independent verification of the gold delivered.

Seller Guarantees

At Buyer's request, Orange Investments may provide collateral security — such as asset-backed or transactional guarantees — to safeguard the Buyer's initial financial input, subject to mutually agreed terms.
